The Board of Directors, through a resolution passed on May 10, 2023, appointed Ms. Chen Li-Chiao, Director of Finance and Accounting, as the Corporate Governance Officer.
Ms. Chen, with over three years of experience in the role of accounting manager in publicly traded companies, meets the qualifications stipulated in the 'Key Points for the Establishment and Exercise of Powers by the Board of Directors of Listed (OTC) Companies.'
The Corporate Governance Officer is primarily responsible for overseeing corporate governance-related matters. This includes the legal conduct of the Board of Directors and Audit Committee meetings, the preparation of minutes for board and shareholder meetings, assisting directors in their appointment and ongoing education, providing necessary information for the execution of board duties, and assisting directors in compliance with legal requirements.
