Supplier Management Policy
To ensure the stability and sustainable development of its supply chain, Vanguard International Semiconductor Corporation has established a Supplier Management Policy that emphasizes social responsibility, environmental protection, and ethical compliance. The policy includes the following key aspects:
Supplier Selection and Evaluation- All suppliers must pass our selection and evaluation process, which includes compliance with environmental standards, labor conditions, and occupational safety and health management.
- The company implements a supplier rating system to classify and manage suppliers based on their performance, with a particular focus on encouraging and supporting suppliers that excel in sustainable development.
Environmental and Green Procurement Policy- The company is committed to collaborating with suppliers who meet environmental standards, prioritizing those with ISO 14001 certification, and requires suppliers to adopt energy-saving and emission-reduction measures during production.
- Suppliers are encouraged to use renewable resources, reduce carbon emissions, and minimize waste. The company continuously monitors suppliers' environmental impact to achieve shared goals in building a green supply chain.
Human Rights and Labor Protection- All suppliers must comply with fundamental labor rights, ensuring no child labor, forced labor, or discriminatory practices, and are required to provide a safe working environment.
- Suppliers must regularly submit reports on their human rights protection practices and undergo periodic audits and supervision.
Anti-Corruption and Business Ethics- Suppliers must adhere to principles of integrity and are prohibited from engaging in any form of bribery or corruption.
- All suppliers are required to sign an anti-corruption agreement and commit to maintaining honesty and transparency throughout their cooperation with the company.

Specific Implementation
The company has fully implemented sustainable development policies in the supplier management process and ensures that all suppliers operate in compliance with sustainability principles through the following measures:
Supplier Audit System- A semi-annual supplier audit system has been established, covering areas such as quality, delivery schedules, pricing (cost), and engineering capabilities. In the first half of 2024, a total of 18 key suppliers were audited, with 15 suppliers rated as Grade B (Good) and 5 suppliers as Grade C (Acceptable). For the Grade C suppliers, corrective actions were required for the areas with deductions.
- On-site inspections are conducted during the audit process, and suppliers are required to provide detailed QSA (Quality System Audit) and QPA (Quality Process Audit) questionnaire responses, covering key indicators such as energy use, waste management, and human rights protection.
Green Procurement Implementation- All 18 qualified suppliers (100%) have obtained ISO 14001 certification and are required to maintain it continuously. Annual audits are conducted to verify compliance, with 13 suppliers audited in 2024 and the remaining 5 scheduled for completion in 2025.
- In 2024, the company's green procurement rate reached 100%, with suppliers providing products that comply with RoHS and REACH standards.
Human Rights and Labor Monitoring- In 2024, agreements to uphold human rights and protect labor rights were signed with all suppliers, achieving a 100% completion rate.
- By 2025, annual audits will be conducted to ensure compliance with human rights protection standards. Suppliers found to be non-compliant are given a three-month rectification period, with designated personnel overseeing the progress of corrective actions.
Anti-Corruption and Business Ethics Enforcement- In 2024, anti-corruption and business ethics agreements were signed with all suppliers, achieving a 100% completion rate.
- By 2025, annual audits will ensure adherence to the agreements.
- An anonymous reporting mechanism has been established, enabling supplier employees to report potential misconduct while ensuring the confidentiality of the whistleblower's identity.
